For purposes of this Agreement, “Adventure Guides” means Adventure Guides LLC and all current and future websites, domain names, marketplace platforms, trade names, brands, mobile applications, affiliated URLs, and other marketplace properties owned, operated, acquired, developed, or activated by Adventure Guides LLC, including ReelEZFishing.com. Collectively, these properties constitute the “Adventure Guides Marketplace” and are referred to throughout this Agreement as “Adventure Guides.”
This Agreement is entered into between Adventure Guides LLC (“Adventure Guides”), operator of the Adventure Guides Marketplace, and the independent Service Provider (“Provider”). By creating a Provider account, accepting bookings, or electronically accepting this Agreement, Provider agrees to be legally bound by its terms.
Adventure Guides operates an online marketplace that connects Customers with independent Providers. Adventure Guides is not the owner or operator of the Provider’s business, vessel, charter services, or employees. The Provider remains solely responsible for all services delivered.
Provider is an independent contractor and not an employee, partner, joint venturer, franchisee, or agent of Adventure Guides.
Provider shall maintain all licenses, permits, USCG credentials, state registrations, insurance, and certifications required to legally perform advertised services.
The Provider retains sole responsibility for all aspects of the booked experience, including the condition, maintenance, and safe operation of all vessels, vehicles, aircraft, equipment, facilities, and other property used in connection with the experience. The Provider is also solely responsible for personnel and crew; required licenses, permits, certifications, and insurance; compliance with applicable laws and regulations; Customer safety and communications; accurate listings and availability; and the proper execution of the experience.
Adventure Guides acts solely as a marketplace and booking platform and does not operate, supervise, control, or provide the experience.
Provider agrees to conduct business professionally, ethically, and courteously at all times. Provider shall treat Customers with respect; communicate promptly and honestly; maintain clean and safe vessels, vehicles, aircraft, equipment, facilities, and other property used in connection with the experience; maintain a professional appearance; arrive prepared; accurately represent services, pricing, experience, and expected conditions; and conduct business in a manner that reflects positively on Adventure Guides.
Provider will respond to inquiries promptly, maintain accurate calendars, notify Customers immediately of delays or cancellations, attempt to resolve Customer concerns professionally, and never retaliate against Customers for reviews or complaints.
Provider shall not encourage Customers to bypass the Platform; accept off-platform payments for Platform-generated leads; exchange contact information for the purpose of avoiding Platform fees; manipulate reviews; submit false information; or misrepresent licenses, insurance, qualifications, or the specifications or condition of vessels, vehicles, aircraft, equipment, facilities, or other property.
Provider acknowledges that participation reflects upon Adventure Guides. Conduct that damages the reputation or goodwill of the Platform may result in suspension or termination.
Adventure Guides may process payments through STRIPE or another payment processor designated by Adventure Guides and remit Provider payouts, less agreed commissions and fees, in accordance with the Payment Processing & Provider Payout Policy.
Provider shall assign one of the approved cancellation policies (Flexible, Moderate, or Strict) to each Experience. Provider agrees to honor the selected policy and cooperate in good-faith dispute resolution and documented extraordinary circumstances.
Provider shall maintain commercial insurance appropriate for advertised services and shall defend and indemnify Adventure Guides from claims arising from Provider’s operations, negligence, or breach of this Agreement.
Adventure Guides and its affiliated marketplace brands provide marketplace, booking, and payment-facilitation services only. Adventure Guides does not own, operate, manage, supervise, or control any Provider or experience.
To the fullest extent permitted by law, Adventure Guides is not responsible or liable for:
Each Provider remains solely responsible for safely and legally operating its business and delivering every booked experience.
Adventure Guides may coach, warn, suspend, restrict listings, terminate Provider participation, or report unlawful conduct to regulatory authorities when warranted.
This Agreement is governed by the laws of the State of Florida.
I certify that all information submitted is true and complete; that I maintain all required licenses, permits, and insurance; that I have read and agree to the Provider Code of Professional Conduct, Cancellation Policy, Payment Policy, and other incorporated Marketplace Policies; and that I will conduct my business professionally in a manner that reflects positively on Adventure Guides LLC. I understand that violations may result in suspension or permanent removal from the Platform.
By selecting ‘I Agree’ during registration or otherwise electronically accepting this Agreement, Provider acknowledges that this Agreement is legally binding under applicable electronic signature laws.
